By accessing or using the Carbene.AI website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and clients of Carbene.AI.

Services Description

Carbene.AI provides the following:

• Open-source security tools published on GitHub
• AI strategy, AI security, and AI governance content and advisory work
• Cybersecurity assessments and penetration testing engagements

Specific services are governed by separate engagement agreements that take precedence over these general terms where applicable.

Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Obtain proper authorization for any security testing on your systems
• Maintain confidentiality of any credentials or access provided to our team
• Comply with all applicable laws and regulations
• Notify us promptly of any security incidents or concerns

Intellectual Property

Our Property: The Carbene.AI name, logo, website content, methodologies, and proprietary tools remain our exclusive property. You may not use, copy, or distribute these without our written permission.

Client Deliverables: Unless otherwise specified in an engagement agreement, deliverables created specifically for you during an engagement become your property upon full payment. We retain the right to use general knowledge and skills gained during engagements.

Confidentiality

We maintain strict confidentiality regarding all client information, systems, and findings. Our team operates under non-disclosure obligations. Specific confidentiality terms are typically addressed in engagement agreements. We will not disclose your information to third parties except as required by law or with your explicit consent.

Payment Terms

Payment terms are specified in individual engagement agreements. Generally:

• Invoices are due within 30 days unless otherwise agreed
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated

Limitation of Liability

To the maximum extent permitted by law, Carbene.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claims arising from an engagement shall not exceed the fees paid for that specific engagement. Security assessments identify vulnerabilities at a point in time and do not guarantee future security.

Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that our services will identify all vulnerabilities, prevent all security incidents, or achieve specific business outcomes. The effectiveness of recommendations depends on proper implementation by the client.

Indemnification

You agree to indemnify and hold harmless Carbene.AI, its officers, employees, and agents from any claims, damages, or expenses arising from your breach of these terms, misuse of our services, or violation of any third-party rights.

Termination

Either party may terminate an engagement as specified in the applicable engagement agreement. We reserve the right to refuse or terminate services if we believe there is a violation of these terms or applicable law. Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Delaware.

Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services after changes constitutes acceptance of the modified terms.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
